  1. Agreement to Terms

By downloading, accessing, or using the Tivy mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App. These Terms apply to all users of Tivy, including visitors, registered users, and others who access the App.

  1. Eligibility

You must be at least 13 years old to use Tivy. By using the App, you represent and warrant that you meet this age requirement. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

  1. Your Account

To use certain features of Tivy, you must create an account. You agree to provide accurate and complete information when creating your account and to keep this information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@jointivy.com  if you suspect any unauthorized use of your account.

  1. Use of the App

Tivy allows you to create and share spontaneous plans with friends who have mutually connected with you on the platform. You agree to use the App only for lawful purposes and in a manner consistent with these Terms.

  1. Acceptable Use

You agree not to use Tivy to post, share, or transmit any content that is:

  • Harmful, threatening, abusive, harassing, defamatory, or discriminatory

  • Obscene, sexually explicit, or otherwise objectionable

  • Invasive of another person's privacy

  • In violation of any applicable law or regulation

  • Intended to impersonate any person or entity

  • Spam, unsolicited messages, or promotional content not authorized by Tivy

Tivy LLC reserves the right, in its sole discretion, to suspend or permanently delete any account that we determine, at our discretion, has violated these Terms or that we determine is harmful to other users, third parties, or the integrity of the platform. We are not obligated to provide notice before taking such action, though we will do so when reasonably practicable.

  1. User Content

You retain ownership of any content you submit through the App, including plan titles, descriptions, and notes ("User Content"). By submitting User Content, you grant Tivy LLC a limited, non-exclusive, royalty-free license to use, display, and distribute your User Content solely to operate and improve the App. You represent that you have all necessary rights to grant this license.

Tivy does not actively monitor User Content but reserves the right to remove content that violates these Terms.

  1. Privacy

Your use of Tivy is also governed by our Privacy Policy, available at jointivy.com. By using the App, you consent to the collection and use of your information as described in the Privacy Policy, which is incorporated into these Terms by reference.

  1. Intellectual Property

The Tivy name, logo, app design, and all related content and technology are the property of Tivy LLC and are protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the App or its content without our prior written permission.

  1. Third-Party Services

Tivy uses third-party services including Supabase for data storage and Apple Push Notification Service for notifications, and Twilio — SMS delivery for plan invitations. These services are governed by their own terms and privacy policies. Tivy LLC is not responsible for the practices of these third-party providers.

When you invite contacts via SMS, their phone numbers are transmitted to Twilio solely to deliver the invitation message.

  1. Disclaimers

The App is provided "as is" and "as available" without warranties of any kind, either express or implied. Tivy LLC does not warrant that the App will be uninterrupted, error-free, or free of viruses or other harmful components. Your use of the App is at your sole risk.

  1. Limitation of Liability

To the fullest extent permitted by applicable law, Tivy LLC and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the App, even if we have been advised of the possibility of such damages. Our total liability to you for any claims arising under these Terms shall not exceed the greater of $100 or the amount you paid to use the App in the twelve months preceding the claim.

  1. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Colorado, and you consent to the exclusive jurisdiction of such courts.

  1. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by updating the effective date at the top of this page and, where appropriate, by sending a notification through the App. Your continued use of Tivy after changes are posted constitutes your acceptance of the updated Terms.

  1. Termination

You may stop using the App and delete your account at any time. Tivy LLC may suspend or terminate your access to the App at any time, with or without cause, and with or without notice. Upon termination, all licenses granted to you under these Terms will immediately cease.
